Terms and Conditions

Welcome to Pratham Enterprise (“Company”, “we”, “our”, or “us”). These Terms and Conditions (“Terms”) or (“T&C”) govern your purchase and use of our products offered in the Business-to-Business (B2B) segment. By registering with us or engaging in business with us, you agree to be bound by all the terms and conditions, Payment Terms, Cancellation, Returns and Refund terms.
1. Business Nature
We operate as a B2B supplier. Orders are accepted only from registered businesses, traders, resellers, or institutions.
2. Products and Brands
We deal in high-quality hardware and industrial tools from reputed brands such as Caltex, CUMI, HiKOKI, Bosch, Stanley, Yorker Tools, Johnson & Johnman Tools, and more and not limited to these only.
Product specifications, brand availability, and packaging may vary, slightly differ from time to time based on manufacturer updates and stock availability.
3. Orders and Pricing
Orders must be placed through official communication channels (email, purchase order through app, direct contact or through our sales representative. However, we encourage orders to be placed on our B2B app service.
All prices are subject to applicable GST and may change without prior notice due to market fluctuations.
Minimum order quantity (MOQ) may apply on select items.
4. Payment Terms
Payment terms will be mutually agreed upon before order confirmation (advance, credit terms, etc.).
Delayed payments beyond the agreed terms may attract interest or suspension of further supplies.

5. Delivery & Logistics
We dispatch goods through reliable transport, logistics partners or self-delivery.
Delivery timelines are approximate and subject to availability and transit conditions.
Any damage or short supply must be reported within 48 hours of delivery.
6. Cancellation, Return & Refund Policy
At Pratham Enterprise, we are committed to ensuring that our business customers receive high-quality products and a reliable service experience. This policy outlines the terms and conditions under which cancellations, returns, and refunds are processed.
6.1. Order Cancellation Policy
6.1.1 Before Order Confirmation:
• Orders may be cancelled by the customer before its been accepted on the portal or It can be cancelled by us.
• No cancellation charges will apply at this stage.
6.1.2 After Order Confirmation:
• Once the order is confirmed and/or processed, cancellation requests will not be accepted unless explicitly approved by our management.
• If the order includes special procurement, customization, or bulk quantities, a cancellation charge of up to 25% of the order value may be levied to cover administrative and handling costs.
6.2. Return Policy
6.2.1 Eligibility for Returns:
Returns are accepted only under the following conditions:
• The product is defective or damaged in transit.
• The product does not match the specifications mentioned in the confirmed order or invoice.
• There is a short supply or wrong item delivered.
6.2.2 Non-Returnable Items:
• Products that are used, damaged due to mishandling, installed, or altered in any way after delivery.
• Custom-ordered or non-stock items specially procured for the customer.
• Items returned without original packaging, tags, or accessories.
6.2.3 Non-Returnable – Non-Warranty Products
Products that are explicitly sold as “Non-Warranty”, “As-Is”, or “No Guarantee/No Warranty” at the time of sale are strictly non-returnable and non-refundable under any circumstances, including:
• Items supplied as surplus, overstock, clearance, or end-of-line inventory.
• Products from specific brands or categories that are mentioned in quotation/invoice as “Non-Warranty”.
• Consumables, used tools, or parts prone to wear-and-tear unless factory defects are clearly established at delivery time.
• Items altered, installed, or used post-delivery without prior inspection or complaint.
Note: Customers are advised to inspect such items upon delivery and raise any concerns within 24 hours, solely for quantity mismatch or physical damage (if applicable). Beyond this, no claims shall be entertained.

6.2.4 Return Request Timeline:
• Claims for returns must be raised within:
• 48 hours for transit damage or shortage.
• 7 days for manufacturing defects or incorrect deliveries.
• Return requests must be sent in writing with proof (e.g., photos, delivery documents).
6.3. Return Process

2) Attach relevant photos/videos, invoice number, and delivery details.
3) Our quality team will review the request within 3–5 working days.
4) If approved, we will initiate the return pickup or guide you through the return procedure.
5) Replacements or credit notes will be issued upon successful receipt and inspection of returned items.
6.4. Refund Policy
• Refunds are issued only when:
• The returned product is not replaced.
• The product is out of stock or discontinued.
• An advance payment was made for an unavailable item.
6.4.1 Refund Mode & Timeline:
• Refunds will be made through the original payment method (e.g., bank transfer or UPI) within 7–10 working days of approval.
• For cheque payments, a refund may be processed via NEFT/RTGS after written confirmation from the customer.
6.5. Important Notes
• All return shipping charges will be borne by Pratham Enterprise only if the return is due to our fault (damaged, defective, incorrect product). In other cases, return logistics shall be borne by the buyer.
• Credit Notes (if issued) must be used within 90 days from the date of issuance.
• No returns or refunds will be entertained for goods sold under clearance, end-of-stock, or promotional offers unless found to be faulty.
7. Warranty & Support
Product warranty (if any) is as per the respective manufacturer’s policy.
We do not provide after-sales service.
8. Limitation of Liability
We shall not be held responsible for any indirect, incidental, or consequential damages arising from product use, delay in supply, or technical errors.
9. Confidentiality
All pricing, business terms, and communications shall remain confidential between the parties involved.
10. Jurisdiction
These Terms shall be governed by the laws of India.
Any disputes shall be subject to the jurisdiction of courts located in Bengaluru.
